The new Canada Not-for-profit Corporations Act (NFP Act) establishes a new set of rules for federally incorporated not-for-profit corporations in Canada. These new rules will replace Part II of the Canada Corporations Act (old Act), the law that has governed federal corporations for nearly a century. The rules under the NFP Act are modern, flexible and more suited to the needs of the not-for-profit sector.

Pursuant to this new regulation, the corporation replaced its letters patent, and by-laws with new charter documents. New By-Laws

Directors and Officers Explained
The current requirements of the Not-For-Profit Act of Industry Canada requires the CSMS to distinguish between Directors and Officers of the Corporation. In particular, Directors are elected according to the schedule outlined in the Bylaws while Officers are appointed. It is the intention that standard operating procedures of the Society will be such that elected Directors take on the role of the Officers of the corporation: President, Vice-President, Treasurer and Secretary. The exception is that the elected director having the role of Vice –President is appointed President by the Directors upon the retirement of the President.
